Terms of Service

By accessing or using EstateFlow ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and EstateFlow, Inc. ("EstateFlow", "we", "us", or "our"). We reserve the right to update these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

EstateFlow is a cloud-based property management platform that provides tools for:

• Property portfolio management and tracking

• Tenant relationship management and communication

• Maintenance request tracking and vendor management

• Financial reporting and analytics

• Document storage and lease management

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with or without notice.

To use the Service, you must:

• Be at least 18 years of age

• Provide accurate, current, and complete information during registration

• Maintain and promptly update your account information

• Maintain the security of your password and account

• Notify us immediately of any unauthorized use of your account

You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to maintain account security.

You agree not to:

• Violate any applicable laws or regulations

• Infringe on intellectual property rights of others

• Upload or transmit viruses, malware, or malicious code

• Attempt to gain unauthorized access to the Service or related systems

• Use the Service to harass, abuse, or harm others

• Scrape, spider, or use automated means to access the Service

• Interfere with or disrupt the Service or servers

• Impersonate any person or entity

• Use the Service for any illegal or unauthorized purpose

Violation of this policy may result in immediate termination of your account.

You retain ownership of all content and data you submit to the Service ("User Content"). By submitting User Content, you grant EstateFlow a worldwide, non-exclusive, royalty-free license to use, store, and process your User Content solely to provide and improve the Service.

You represent and warrant that:

• You own or have the necessary rights to your User Content

• Your User Content does not violate any laws or third-party rights

• Your User Content does not contain confidential information of third parties without authorization

You are solely responsible for your User Content and the consequences of posting or publishing it. We are not responsible for any User Content and do not endorse any opinions expressed by users.

The Service and its original content, features, and functionality are owned by EstateFlow and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Our trademarks, logos, and service marks ("Marks") may not be used without our prior written consent. All other trademarks appearing on the Service are the property of their respective owners.

You may not:

• Copy, modify, or create derivative works of the Service

• Reverse engineer, decompile, or disassemble the Service

• Remove or alter any copyright, trademark, or proprietary notices

Access to certain features of the Service requires a paid subscription. By subscribing, you agree to:

• Pay all fees associated with your subscription plan

• Provide current, complete, and accurate billing information

• Authorize us to charge your payment method on a recurring basis

Subscription fees are billed in advance on a monthly or annual basis and are non-refundable except as required by law. We reserve the right to change our pricing with 30 days' notice. Price changes will not affect your current billing cycle.

You may cancel your subscription at any time through your account settings. Cancellation will be effective at the end of your current billing period.

We may offer a free trial period for new users. During the trial:

• You have access to premium features at no charge

• You must provide payment information to start the trial

• You will be automatically charged when the trial ends unless you cancel

• We reserve the right to modify or terminate free trial offers at any time

Free trials are limited to one per user and may not be combined with other offers.

While we implement regular backup procedures, you are responsible for maintaining your own backup copies of your User Content. We are not liable for any loss, corruption, or damage to your User Content.

We recommend that you:

• Regularly export and backup your data

• Maintain copies of important documents outside the Service

• Use our data export features to create local backups

The Service may integrate with or contain links to third-party services, websites, or applications. We do not control and are not responsible for:

• The content, privacy policies, or practices of third-party services

• Any damage or loss caused by your use of third-party services

Your use of third-party services is at your own risk and subject to their terms and conditions.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free

• The results obtained from using the Service will be accurate or reliable

• Any errors in the Service will be corrected

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ESTATEFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless EstateFlow and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

• Your access to or use of the Service

• Your User Content

• Your violation of these Terms

• Your violation of any rights of another party

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including:

• Breach of these Terms

• Fraudulent, abusive, or illegal activity

• Non-payment of fees

• Request by law enforcement or government agencies

Upon termination:

• Your right to use the Service will immediately cease

• We may delete your account and User Content

• You remain liable for all charges incurred prior to termination

You may terminate your account at any time by contacting us or using the account deletion feature.

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that:

• You may assert claims in small claims court if they qualify

• Either party may seek injunctive relief in court for intellectual property infringement

You agree to waive your right to a jury trial and to participate in class action lawsuits. Arbitration will be conducted on an individual basis.

These Terms shall be governed by and construed in accordance with the laws of the State of Massachusetts, United States, without regard to its conflict of law provisions.

Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Plymouth County, Massachusetts.

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on this page

• Updating the "Last Updated" date

• Sending an email notification to your registered email address

Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and cancel your account.

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and EstateFlow regarding the Service and supersede all prior agreements and understandings.
